SOFTWARE DEVELOPMENT CONTRACT

WHEREAS, the Developer is engaged in the business of providing web development services and IT consulting;

WHEREAS, the Client desires to engage the Developer to develop and deliver a comprehensive School Management System;

WHEREAS, the Developer has the expertise and capability to develop such a system;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

The Developer shall develop and deliver a comprehensive web-based School Management System as described in the System Description document. The system shall include, but not be limited to:

• User Management System with role-based permissions
• Student and Teacher Management modules
• Course and Subject Management
• Advanced Grade and Assessment System with AJAX functionality
• Attendance Management and tracking
• Fee Management System with payment tracking
• Library Management System
• Inventory Management System
• Facilities Management System
• Class and Enrollment Management with auto-enrollment
• Advanced reporting and analytics
• Mobile-responsive design and modern UI

The system shall be built using modern web technologies including PHP, MySQL, HTML5, CSS3, and JavaScript frameworks.

The Developer shall provide the following services:

• Hosted School Management System accessible via secure web interface
• System configuration and customization for Client's specific requirements
• User training and onboarding sessions
• System testing and quality assurance
• Initial data setup and migration assistance
• Post-deployment support and maintenance for [Number] months
• Regular system updates and security patches
• Technical support via phone, email, and online portal

The system shall meet all specifications outlined in the System Description document and shall be hosted on secure, scalable infrastructure with 99.9% uptime SLA.

The project shall be completed within [Number] months from the contract signing date, subject to the following milestones:

• Requirements Analysis and Planning: [Timeframe]
• System Design and Database Setup: [Timeframe]
• Core Module Development: [Timeframe]
• Advanced Features Implementation: [Timeframe]
• Testing and Quality Assurance: [Timeframe]

Any delays caused by the Client shall extend the timeline accordingly.

The total contract value shall be [Amount in GHS] (Ghanaian Cedis), based on the selected package from the Pricing Structure document.

Payment Schedule:

• Initial Deposit: 30% upon contract signing
• Progress Payment 1: 25% upon completion of core modules
• Progress Payment 2: 25% upon completion of advanced features
• Final Payment: 20% upon final delivery and acceptance

Payments shall be made via bank transfer or mobile money (MTN Mobile Money, Vodafone Cash, AirtelTigo Money) to the Developer's designated account. All payments are in Ghanaian Cedis (GHS).

Late payments shall attract interest at the rate of 2% per month.

Upon full payment, the Client shall own the copyright and intellectual property rights to the custom-developed portions of the School Management System.

The Developer retains ownership of any pre-existing tools, frameworks, or third-party components used in the development.

The Client grants the Developer permission to use the system in their portfolio and marketing materials.

Both parties agree to maintain the confidentiality of proprietary information, trade secrets, and sensitive data disclosed during the course of this agreement.

This obligation shall survive the termination of this agreement for a period of 5 years.

Confidential information includes, but is not limited to, source code, system specifications, pricing information, and business strategies.

The Developer warrants that:

• The system shall be free from material defects for 6 months after delivery
• The system shall perform substantially as described in the specifications
• The system shall not infringe on third-party intellectual property rights

The Developer shall not be liable for:

• Indirect or consequential damages
• Loss of data due to Client's negligence
• System failures due to inadequate hosting infrastructure
• Modifications made by third parties

Maximum liability shall not exceed the total contract value.

Either party may terminate this agreement with 30 days written notice if the other party breaches any material term.

Upon termination:

• The Client shall pay for all work completed up to the termination date
• The Developer shall deliver all completed work and documentation
• Both parties shall return or destroy confidential information

This agreement shall be governed by the laws of the Republic of Ghana.

Any disputes arising from this agreement shall first be resolved through amicable negotiations.

If negotiations fail, disputes shall be resolved through the courts of Ghana.

The parties agree to submit to the jurisdiction of the Ghanaian courts.

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, war, or government restrictions.

This agreement constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.

Any amendments must be in writing and signed by both parties.

If any provision of this agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
